Terms and Conditions

⚠️ These terms apply to all use of the Logitall service, including free trials and pilot programmes.

1. Definitions

"Service" means the Logitall IT asset management platform, including all associated software, features, and support.

"Provider" means Elliot Adams, trading as Logitall (hello@logitall.co.uk).

"Customer" means the organisation that has agreed to these Terms and is accessing the Service.

"Users" means the employees, contractors, or other individuals authorised by the Customer to use the Service.

"Subscription" means the Customer's paid or trial access to the Service.


2. Acceptance of Terms

By accessing or using the Service, the Customer agrees to be bound by these Terms and Conditions. If the Customer does not agree, they must not use the Service.

These Terms apply to all Subscriptions including free trials and pilot programmes.


3. The Service

The Provider will make the Service available to the Customer in accordance with these Terms. The Service includes:

The Provider reserves the right to update, modify, or discontinue features of the Service with reasonable notice to the Customer.


4. Subscriptions and Payment

Access to the Service is subject to payment of the applicable subscription fee as agreed between the parties.

During any free trial or pilot period, no fees are charged. The Provider will provide reasonable notice before converting a trial to a paid subscription.

All fees are exclusive of VAT or other applicable taxes, which will be added where required by law.

Failure to pay fees within 30 days of the due date may result in suspension or termination of access to the Service.

6. Data and Privacy

The processing of personal data in connection with the Service is governed by the Data Processing Agreement entered into between the parties, which forms part of the agreement between the Provider and the Customer.

The Provider's Privacy Policy is available at www.logitall.co.uk/privacy and sets out how personal data is handled.


7. Intellectual Property

All intellectual property rights in the Service, including software, design, and documentation, remain the property of the Provider.

The Customer is granted a limited, non-exclusive, non-transferable licence to use the Service during the Subscription term solely for their internal business purposes.

The Customer retains ownership of all data they input into the Service.


8. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with the Service, and not to disclose it to any third party without prior written consent, except as required by law.


9. Availability and Support

The Provider will use reasonable endeavours to maintain availability of the Service. However, the Provider does not guarantee uninterrupted or error-free operation.

Planned maintenance will be carried out with reasonable advance notice where possible.

10. Limitation of Liability

To the fullest extent permitted by law, the Provider's total liability to the Customer for any claim arising out of or in connection with the Service shall not exceed the total fees paid by the Customer in the 12 months preceding the claim.

The Provider shall not be liable for:

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.


11. Warranties

The Provider warrants that it will provide the Service with reasonable skill and care.

The Service is provided "as is" and the Provider makes no other warranties, express or implied, including any implied warranty of fitness for a particular purpose or merchantability.


12. Termination

Either party may terminate the Subscription by giving 30 days' written notice to the other party.

The Provider may terminate or suspend access immediately if:

Upon termination, the Customer's access to the Service will cease. Customer data will be retained for 90 days following termination, after which it will be deleted or pseudonymised in accordance with the Data Processing Agreement.


13. Changes to These Terms

The Provider may update these Terms from time to time. The Customer will be notified of material changes by email at least 30 days in advance. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.


14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.


15. Entire Agreement

These Terms, together with the Data Processing Agreement and any agreed order form or proposal, constitute the entire agreement between the parties relating to the Service and supersede all prior agreements, representations, or understandings.
